This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms and conditions for access or usage of www.rebitee.com website and the Rebitee application for mobile and handheld devices. The terms and conditions mentioned here are intended to make you aware of your legal rights and responsibilities when you access the Rebitee website and application including but not limited to delivery of information through the website. The website and application are jointly referred to as “platform”. Please read the terms and conditions carefully before you use the services of the Rebitee platform. BY DOWNLOADING, INSTALLING AND USING THE PLATFORM, IT IS TO BE UNDERSTOOD THAT YOU ACCEPT THE TERMS AND CONDITIONS, REFUND POLICY, PRIVACY POLICY MENTIONED IN THIS DOCUMENT. These terms are liable to be changed or amended as and when it is deemed appropriate. Rebitee reserves the right to cemodify these terms and conditions, refund policy and privacy policy at any time. You shall be liable to update yourself of such changes. With your continued usage of the website or application after changes are posted, it will be understood that you accept the changes made to the terms and conditions, refund policy and privacy policy. The Platform is owned and operated by Rebitee Technologies, a firm incorporated under the Companies Act, 1956 and having its registered office at Bengaluru, Karnataka, India. For the purpose of these Terms and conditions, wherever the context so requires, "you", “user”,” client” or “customer” shall mean any natural or legal person who shall transact on the Platform by providing registration data while registering on the Platform as a registered user using any computer systems. The terms "Rebitee", "we", "us" or "our" shall mean Rebitee Technologies. “Content” will include but not limited to images, photographs, videos, reviews, visual interfaces, computer code, software, data or any other form of information or data. Content will also include content that you upload such as ratings, likes, images, profile information and other materials that are available in your profile while viewing Rebitee.

Rebitee enables transactions on its platform between participating vendors, caterers or merchants and customers. The platform engages in prepared food and beverages. Customers can place orders online from our listing of products over various vendor/caterer menus listed and offered for sale on the platform.

Rebitee facilitates delivery of orders at select localities in Goa and Kashmir by connecting third party service providers, that is pick-up and delivery partners who will undertake the responsibility of pick-up and delivery of food orders placed by the clients on the Rebitee platform. Rebitee acts as an intermediary between the vendors/caterers, pick-up and delivery partners and clients. For pickup and delivery services, the designated partners may charge the users of the Platform, a service fee (inclusive of applicable taxes whenever not expressly mentioned) determined on the basis of various factors including but not limited to distance covered, time taken, demand for delivery services, real time analysis of traffic and weather conditions, seasonal peaks or such other parameters as may be determined from time to time.

Rebitee is not a manufacturer, seller or distributor of food and beverages or Products, and only places orders against the Vendors on behalf of the Customers with respect to the unconditional and irrevocable authority granted by the Customers to Rebitee, and facilitates the sale and purchase of food and beverages or Products between Customers and Vendors, under the contract for sale and purchase of food and beverages or Products between the Customers and Vendors.

Rebitee is constantly evolving to provide the most appealing experience to its customers. You acknowledge and agree that Rebitee reserves the right to suspend or discontinue any or all products or vendors or services at any time without prior notice, make amendments in its content, products and services without prior notice.

Rebitee and its application software may include automatic checks for updates to the software. Unless your device settings permit upgrades and updates, you accept that Rebitee or the software may notify you of the availability of such an upgrade and automatically push updates from time to time. You may be required to install certain updates to continue access and use of services of Rebitee.

• You hereby confirm that you are at least eighteen years of age and are competent to understand and agree to the terms and conditions, obligations and rules set-forth in this document.
• You are in compliance with the laws and regulations of India. You agree to use our services in compliance with the applicable laws and in a manner that does not violate anybody’s privacy or rights.

• The content uploaded in the website and application is for your information and perusal. Rebitee may not be held responsible in case any of the information available on it is obsolete since it was last updated on Rebitee.
• For transactions on Rebitee, the commercial agreement is agreed between the customer, delivery agent and the vendor. Rebitee does not guarantee the quality of products listed on the menu, price, applicable taxes, shipping costs, payment terms, date, warranties as well as the availability of products listed against different vendors. Rebitee may however offer support with respect to order fulfilment, mode of payment, payment collection and customer support.
• All images and information uploaded on Rebitee is believed to be owned by or licenced to Rebitee. In case of a violation of copyright, please email a request to take down the image or information from Rebitee. You are not authorised to reproduce or replicate any image or portion of Rebitee in any format without the written consent from Rebitee.
• Rebitee does not hold responsibility for any credibility, license, permits, certification information displayed on the vendor information. Customers are requested to do you own research to verify the authenticity and accuracy and make an informed decision about a vendor you would like to engage with. Rebitee in no manner will take liability for any losses or damages that are caused due to this. Offers and discounts offered by vendors are subject to terms and conditions of the vendor and Rebitee does not take any responsibility for these offers.
• Rebitee is only a platform facilitating a transaction between a vendor and a customer and does not at any point in time take possession of any of the products offered. Rebitee shall not have any liability or obligation for the contract between the vendor, the customer and the delivery agent. Rebitee does not provide pick-up and delivery services and only provides a platform for vendors, delivery agents and customers to come together to provide seamless delivery experiences. In case of any concerns regarding delays in delivery or error in the delivery service, Rebitee shall assist the vendors and delivery agents to resolve issues amicably.
• Rebitee is the sole and exclusive copyright owner of the services and content and owns the copyrights, trademarks, service marks, logos, trade names and other intellectual and proprietary rights associated with the services and content.

You agree that you will use the platform strictly under the following binding rules:

• You create an account on Rebitee and ensure that you keep your password confidential and are solely responsible for maintaining the confidentiality of your account, all information and activities therein. You may also be prompted to register through your social networking sites. You confirm that you are the person responsible for the social media account and you agree to disclose your social media account information to us as per your account settings.
• You agree that all information provided is true and that you will update your information as and when necessary, to ensure that the information is correct. If you are the owner of a business listing(vendor) on Rebitee, you agree that you are the authorised person and all information submitted and displayed by you is true. You also accept that you will be liable for any damages caused due to false claiming of a business listing or incorrect listing.
• You may not impersonate anyone else and only provide you own email address. You may not create multiple accounts or business listings unless authorised by us. You will be solely responsible for any unauthorised activity in your account and agree to intimate us immediately in case of any misuse of your account.
• By submitting Your Content, you hereby grant Rebitee non-exclusive, fully paid and royalty-free, assignable, sub-licensable and transferable license and right to use Your Content (including content shared by any business user having access to a 'vendor business page' to manage claimed business listings or otherwise) and all IP Rights therein for any purpose including API partnerships with third parties. By "use" we mean use, copy, display, distribute, modify, translate, reformat, incorporate into advertisements and other works, promote, commercialize, create derivative works, and in the case of third-party services, allow their users and others to do the same. You grant us the right to use the name or username that you submit in connection with Your Content.
• You acknowledge that the Services contained in Rebitee have been developed, compiled, prepared, revised, selected, and arranged by us and others through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money and constitute valuable intellectual property of us and such others. You further acknowledge that the Services may contain information which is designated as confidential by Rebitee and that you shall not disclose such information without prior written approval from Rebitee
• You agree to protect the proprietary rights of Rebitee and of all others having rights in the Services during and after the term of this agreement and to comply with all reasonable written requests made by us or our partners and licensors of content or otherwise to protect their and others' contractual, statutory, and common law rights in the Services. You acknowledge and agree that Rebitee owns all legal right, title and interest to the Services, including any IP Rights which subsist in the Services. You further acknowledge that the Services may contain information which is designated as confidential, that you shall not disclose such information without prior written consent. Unless you have agreed otherwise in writing, you have no right to use any trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of Rebitee.
• We grant you, personal, limited, non-exclusive and non-transferable license to access and use the Services only as expressly permitted in these Terms. You shall not use the Services for any illegal purpose or in any manner inconsistent with these Terms. You may use information made available through the Services solely for your personal, non-commercial use. You agree not to use, copy, display, distribute, modify, broadcast, translate, reproduce, reformat, incorporate into advertisements and other works, sell, promote, create derivative works, or in any way exploit or allow others to exploit any content in whole or in part unless authorised by us in writing.
• Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information. The manner, mode and extent of advertising on the Services are subject to change without specific notice to you. You agree that Rebitee may place such advertising on the Services.

You shall not host, display, upload, download, publish or share any information that:

• is grossly intimidating, false, harmful, pornographic, misleading, hateful, invasive or objectionable or causing any harm or causing embarrassment in any manner to anybody or encouraging money laundering or gambling, or otherwise unlawful in any manner or "indecent representation of women" within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;
• promotes sending junk mail, chain letters or unwanted spamming
• violates anybody’s right of privacy
• Promotes money laundering, gambling, or any other unlawful activity.
• Misleading in any way
• Harassing in any manner
• advocates illegal or unauthorized copy of another person's copyrighted work such as providing pirated computer programs or links to them
• upload video, photographs, or images of another person without his or her written consent or the consent of his/her guardian in case of a minor
• engages in commercial activities or sales such as contests, sweepstakes, advertising and pyramid schemes, or the buying or selling of "virtual" items without prior written legal approval from Rebitee.
• impersonate another person
• contains software viruses or computer code, files or programs that interrupt the functionality of the website or interfere with the smooth functioning of the website/app
• shall not, directly or indirectly, offer, attempt to offer, trade or attempt to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force
• shall not use any automatic device, program or algorithm or similar tools to access, acquire, copy or monitor any portion of the Website or any Content, or in any way reproduce the presentation of the Website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not made available through Rebitee.
• you understand that Rebitee has the right to disclose any information (including the identity of the persons) as necessary in case any law, regulation or valid governmental request to do so. This may include, disclosure of the information in connection with investigation of alleged illegal activity or solicitation of illegal activity or in response to a lawful court order.
• infringes upon or violates any third party's rights including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address or phone number) or rights of publicity;
• provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone;
• provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
• contains video, photographs, or images of another person (with a minor or an adult);
• tries to gain unauthorized access or exceeds the scope of authorized access to the Platform or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the Platform or solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
• threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any criminal offence or prevents investigation of any offence or is insulting to any other nation;
• creates liability for us or causes us to lose (in whole or in part) the services of our internet service provider or other suppliers.
• You shall not make any negative, denigrating or defamatory statement(s) or comment(s) about us or the brand name or domain name used by us including the name 'Rebitee', or otherwise engage in any conduct or action that might tarnish the image or reputation, of Rebitee or Vendors on the platform or otherwise tarnish or dilute any of Rebitee's trade or service marks, trade name and goodwill associated with such trade or service marks, as may be owned or used by us. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform or Rebitee's systems and networks, or any systems or networks connected to Rebitee.
• You shall at all times ensure full compliance with the applicable provisions, as amended from time to time, of (a) the Information Technology Act, 2000 and the rules thereunder; (b) all applicable domestic laws, rules and regulations (including the provisions of any applicable exchange control laws or regulations in force); and (c) international laws, foreign exchange laws, statutes, ordinances and regulations (including, but not limited to sales tax/VAT, income tax, octroi, service tax, central excise, custom duty, local levies) regarding your use of our service and your listing, purchase, solicitation of offers to purchase, and sale of products or services. You shall not engage in any transaction of an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations in force.
• In order to allow us to use the information supplied by you, without violating your rights or any laws, you agree to grant us a non-exclusive, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, database rights or any other rights you have in your Information, in any media now known or not currently known, with respect to your Information. We will only use your information in accordance with these Terms and conditions and Privacy Policy applicable to use of the Platform.
• We reserve the right to monitor the materials posted on the Platform. Rebitee shall have the right to remove or edit any content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms and conditions. Notwithstanding this right, YOU REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS YOU POST ON THE PLATFORM AND IN YOUR PRIVATE MESSAGES. Please note that content posted on the platform does not reflect the opinions of Rebitee and Rebitee will not have any liability for any content posted or for any claims, damages or losses resulting from use of Content and appearance of Content on the Platform. You agree that you have all necessary rights in and to all Content which you provide and all information it contains and that such Content shall not infringe any proprietary or other rights of third parties or contain any libellous, tortious, or otherwise unlawful information.
• It is possible that other users (including unauthorized users or 'hackers') may post or transmit offensive or obscene materials on the Platform and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Platform, and that the recipient may use such information to harass or injure you. We do not approve of such unauthorized uses, but by using the Platform You acknowledge and agree that we are not responsible for the use of any personal information that you publicly disclose or share with others on the Platform. Please carefully select the type of information that you publicly disclose or share with others on the Platform.

• You represent and warrant that you are the sole author and control all the rights of Your Content or have been granted explicit permission to Your Content; Your Content was not copied from or based in whole or in part on any other content, work, or website; Your Content was not submitted via the use of any automated process such as a script bot; use of Your Content by us, third party services, and any third party users will not violate or infringe any rights of yours or any third party; Your Content is truthful and accurate; and Your Content does not violate the Guidelines and Policies or any applicable laws.
• If your Content is a review, you represent and warrant that you are the sole author of that review; the review reflects an actual food experience that you have had; you were not remunerated in connection with your posting of the review; and you had no financial, competitive, or other personal incentive to author or post a review that was not a fair expression of your honest opinion.
• You own all risks associated with Your Content, including anyone's reliance on its quality, accuracy, or reliability, or any disclosure by you of information in Your Content that makes you personally identifiable. While we reserve the right to remove Content, we do not control actions or Content posted by our customers and do not guarantee the accuracy, integrity or quality of any Content. You acknowledge and agree that Content posted by Customers and all liability arising from such Content is the sole responsibility of the Customer who posted the content.
• Rebitee reserves the right to remove, block, or disable access to any Content that is considered to be objectionable, in violation of the Terms and conditions or harmful to our Services or our Customers, in our sole discretion without prior notice. There is no obligation to return any of Your Content to you under any circumstances. Further, the Vendors reserve the right to delete any images and pictures forming part of Customer Content, from such Vendor's listing page at its sole discretion.
• Rebitee reserves the right to make improvements to, or correct any error or omissions in any portion of the content accessible on the Services. Where appropriate, Rebitee may verify any updates, modifications, or changes to any content accessible on the Services, but shall not be liable for any delay or inaccuracies related to such updates.
• Third party content, including content posted by Customers, do not reflect views of Rebitee, its employees, officers, directors, or shareholders. In addition, none of the content available through the Services is endorsed or certified by the providers or licensors of such third-party content. We assume no responsibility or liability for any of Your Content or any third-party content.
• Customer reviews or ratings for Vendors do not reflect the opinion of Rebitee. Every review posted on Rebitee is the personal opinion of the Customer/reviewer only. Rebitee is a neutral platform, which solely provides a means of communication between Customers/reviewers including Customers or vendor owners/representatives with access to vendor business page. The advertisements published on the platform are independent of the reviews received by such advertisers.
• In case someone writes a review that the vendor does not consider to be true, the best option for the vendor representative would be to contact the reviewer or post a public response in order to clear up any misunderstandings. If the Vendor believes that any particular Customer's review violates any of the policies stated by Rebitee, the vendor may write to us and bring such violation to our attention. Rebitee may remove the review in its sole discretion if review is in violation of the Terms and Conditions, or content guidelines and policies or otherwise harmful to the Services

• As a general rule customer shall not be entitled to cancel an order once placed. Customer may choose to cancel the order only within one minute of the vendor accepting your order. However, subject to customer’s previous cancellation history, Rebitee reserves the right to deny any refund to customer, pursuant to a cancellation initiated by him/her even if the same is within one minute of order acceptance by the vendor, followed by suspension of account, as may be necessary in the sole discretion of Rebitee.
• If the customer cancels his/her order after one minute of vendor accepting the order, Rebitee has the right to collect a penalty of 100% of the order amount for breach of contract terms as a compensation for the damages suffered, with a right to either not refund the order value in case customer’s order is prepaid or recover from the customer’s subsequent order in case his/her order is post-paid, to compensate the Vendor and delivery agent.

• You acknowledge that your cancellation, or attempted cancellation of an Order or cancellation due to reasons not attributed to Rebitee, for example, in the event you provide incorrect particulars, contact number, delivery address etc., or that you were unresponsive, not reachable or unavailable to fulfil the services offered to you, shall amount to breach of your unconditional and irrevocable authorization to Rebitee to place that order against the Vendor Partners on your behalf (“Authorization Breach"). In the event you commit an Authorization Breach, you shall be liable to pay the liquidated damages of an amount equivalent to the Order Value. You hereby authorize Rebitee to deduct or collect the amount payable as liquidated damages through such means as Rebitee may determine in its discretion, including without limitation, by deducting such amount from any payment made towards your next order.
• There may be cases where Rebitee is either unable to accept your order or cancels the order, due to reasons including without limitation, technical errors, unavailability of the item(s) ordered, or any other reason attributable to Rebitee, Vendor or Delivery Agent. In such cases, Rebitee shall not charge a cancellation charge from you. If the order is cancelled after payment has been charged and you are eligible for a refund of the Order Value or any part thereof, the said amount will be reversed to you.
• Rebitee will not entertain any refund or replacement without the approval of the Vendor or Caterer.
• In case of any complaint with regard to foreign particles in food, leakage, wrong products delivered, or the products delivered are of poor quality, you will be required to substantiate your claim with proof of the same before the issue can be resolved.
• You shall not be entitled to a refund in case instructions placed along with the order are not followed properly.
• All refunds will be processed in the same manner they are received, unless they are in the form of credit notes or points. Refund amount will reflect in the account used for the transaction on the basis of the respective bank’s policy.
• In case of payments on Delivery, customers do not have to pay for orders where:
• Packing is damaged
• Order is delivered incorrectly
• Items are missing in the delivery

These term and conditions, privacy policy and refund and cancellation policy shall be governed by the laws of India. Any disputes arising hereto shall be subject to the exclusive jurisdiction of courts, tribunals, fora, applicable authorities at Goa. The place of jurisdiction shall be exclusively in Goa.

By using the Platform and the Services, you agree and consent to the collection, transfer, use, storage, disclosure and sharing of your information as described and collected by us in accordance with this Policy. If you do not agree with the Policy, please do not use or access the Platform.

• Links to other websites: The Rebitee Platform may contain links to other websites. Any personal information about is collected when visiting such websites is not governed by this Policy. Rebitee shall not be responsible for and has no control over the practices and content of any website accessed using the links contained on this Platform. This Policy shall not apply to any information you may disclose to any of our service providers/service personnel which we do not require you to disclose to us or any of our service providers under this Policy.
• Information collected from customers: In order to improve your application and website experience and lend stability to our services to you, we may collect information or employ third party plugins that collect information about the devices you use to access our Services, including the hardware models, operating systems and versions, software, file names and versions, preferred languages, unique device identifiers, advertising identifiers, serial numbers, device motion information, mobile network information, installed applications on device and phone state. The information collected thus will be disclosed to or collected directly by these plugins and may be used to improve the content and/or functionality of the services offered to you. Analytics companies may use mobile device IDs to track your usage of the Rebitee Platform.
• Cookies: The Rebitee platform and third parties with whom we partner, may use cookies, pixel tags, web beacons, mobile device IDs, “flash cookies” and similar files or technologies to collect and store information with respect to your use of the Services and third-party websites.

Cookies and similar technologies are used for authenticating users, remembering user preferences, understanding popularity of content, gauging the effectiveness of advertising campaigns, evaluating traffic to website and online behaviour and interests of people. By using our services with your browser settings to accept cookies, you are agreeing to the use of cookies.

• To provide, personalise, maintain and improve our products and services, such as to enable deliveries and other services, enable features to personalise your Rebitee account.
• To oblige the contract with you.
• To improve the platform security through troubleshooting, data analysis, testing, research etc.
• To provide you with information about services similar to those that are being used by you, or enquired about, or of interest to you.
• To understand our users, improve the content and features of our Services like personalizing content to your interests, make special offers, provide customer support and respond to your queries.
• To understand effectiveness of advertising and to profile relevant advertising.
• In case of vendors, to track orders, delivery schedule etc

We may share your information that we collect:

• With Service Providers: We may share your information with our vendors, consultants, marketing partners, research firms and other service providers or business partners, such as Payment processing companies, to support our business. For example, your information may be shared with outside vendors to send you emails and messages or push notifications to your devices in relation to our Services, to help us analyse and improve the use of our Services, to process and collect payments.
• With Partner Vendors: While you place a request to order food through the platform, your information is provided to us and to the vendors with whom you may choose to order. In order to facilitate your online food order processing, we provide your information to that vendor as if you had made a food order directly with the vendor. If you provide a mobile phone number, we may send you text messages regarding the order’s delivery status.
• With Other Users: If you have partnered with us as a delivery agent, we may share your name, phone number and profile picture, tracking details with other users to provide them the Services.
• For Crime Investigation: We may share this information with governmental agencies or other companies assisting us, when we are obligated under the applicable laws or in good faith to respond to court orders and processes, detecting and preventing against actual or potential occurrence of identity theft, fraud, abuse of Services and other illegal acts, responding to claims that an advertisement, posting or other content violates the intellectual property rights of a third party, under a duty to disclose or share your personal data in order to enforce our Terms and Conditions and other agreements, policies or to protect the rights, property, or safety of the Company, our customers, or others, or in the event of a claim or dispute relating to your use of our Services. This includes exchanging information with other companies and organisations for the purposes of fraud detection and credit risk reduction.
• For Internal Use: We may share your information with any present or future affiliates for our internal business purposes.
• With Advertisers and advertising networks: We may work with third party advertisement agencies and third-party websites or other media. These third-parties may use cookies, JavaScript, web beacons (including clear GIFs), Flash LSOs and other tracking technologies to measure the effectiveness of their ads and to personalize advertising content to you.

Ample technical and security measures have been put in place to ensure security of your information collected by Rebitee. Vault, tokenization measures have been deployed. Payment gateway and processing are compliant with card industry standards and protocols. Please refrain from sending credit card details unencrypted electronic platforms. Additionally, username and password to the Rebitee account is to be maintained with confidentiality.

There is no full proof assurance of security of information transmitted over the internet. Despite Rebitee’s best efforts to protect our customer data, we do not commit to the security of your information through the platform. However, information once received by Rebitee will be protected with strict physical and electronic procedures.

Registering on Rebitee entails receipt of emails and messages. In case you do not wish to receive them, you may unsubscribe to the commercial messages and emails. However, you cannot opt out of delivery, order, service and legal notices.
